Terms & Conditions
All Instructors are expected to abide by the following Terms and conditions:
1. MAINTAINING APPROPRIATE APPEARANCE AND CONDUCT
- (a) Always display a positive and professional appearance.
- (b) Professionalism During Lessons and in Student Communication:
- (i) No foul language or actions.
- (ii) No fraternizing with students, or communication outside the virtual classroom.
- (iv) Ensure your teaching environment and background are appropriate for quality experience.
2. PROTECTING LYNGO's INTELLECTUAL PROPERTY, CLIENT'S RIGHTS, AND STUDENT PRIVACY
- (a) All teaching materials, online systems, and information provided by Lyngo are owned by Lyngo and/or Lyngo Clients, and shall not be used by Instructor for any other purpose.
- (b) Solicitation of any Lyngo or Lyngo Client student will result in immediate termination.
- SCHEDULING AND RESPECTING TIME COMMITMENTS
- (a) ZEnglish and other Lyngo Client lessons are managed on our online Scheduling System
- (b) Lessons are scheduled every day, year-round using (Japan time GMT+9)
- (c) Instructors are expected to confirm their own schedule using Lyngo's online Scheduling Site.
- (d) Scheduling Time Off - Instructors can adjust their own time off using the 'Time Off Request'.
- Make all requests at least 17 Days Prior to the Monday Of The Week to the Adjusted.

CONDUCTING LESSONS
(a) Keep your Schedule. Tardiness, No-Shows, or Last-Minute Cancellations are strictly prohibited.
(b) Be Prepared. Preview and understand the upcoming lesson flow.
(c) Your Ratings Are Important. Success is tied to Student Enrollment and Higher Ratings.
(d) Maintain High-Speed Internet, Computer Performance, Web-Cam, and Headphone.
- STAY IN CONTACT
(a) Provide at least three methods of communication in case of emergencies:
(i) Cell Phone/Land Line to ensure emergency communication.
(ii) E-mail Address
(iii) Slack - ZEnglish uses Slack as back-channel communication for all lessons
(iv) WhatsApp, or Telegram - Helpful for receiving Lyngo bulletins and notices
6. PAYMENT FOR SERVICES
- (a) Instructors acknowledge that they are providing services to Lyngo as Independent Contractors, and not as employees of Lyngo or Lyngo clients.
- (b) Standard payment for Instructors is the amount discussed during earlier interviews.
- (c) In the case of a student no-show, instructors will be paid for a full lesson if:
- (i) Instructor works on projects assigned by Lyngo Staff.
- (d) Payments are calculated in Japanese Yen and made to Instructor's PayPal or other authorized account on the 15th and the last business day of each month. If either falls on a weekend or holiday, payment may be made on the next business day.
- (e) Payments on the 15th will be made for services provided from the 26th - 10th, and payments made on the last business day of the month will be made for services provided from the 11th - 25th.
- (f) Instructors are responsible for exchange rates, transfer, and/or other fees charged by PayPal or other electronic funds services.
- (g) Any costs incurred for equipment, or services required to perform instruction (computer, Internet, program, etc.) shall be borne by the Instructor. * Please note, because of Japanese Standard Accounting Requirements, your payment will be rounded down to the nearest Yen (¥).
- WITHHOLDING TAX REQUIREMENT
- (a) ) As Independent Contractors, Instructors are responsible for paying income tax in compliance with the laws of their country of residence. Each January, Lyngo provides annual income statements for services rendered in the previous year for use when reporting to local Tax Agency.

(b) REQUIREMENTS FOR CITIZENS AND RESIDENTS OF JAPAN:
As required by Japan's tax law, Lyngo is obligated to withhold 10.21% of Instructor pay.
